1. These terms
These terms apply between HazelGRC Limited (“HazelGRC”) and the person or organisation booking a place (the “Purchaser”) on a HazelGRC Academy programme, masterclass, workshop or event (a “Programme”), and to each individual attending (a “Participant”). A Purchaser booking on behalf of others confirms it has authority to accept these terms for each Participant.
2. Bookings
Bookings are made through our registration provider or by written agreement. A booking is an offer to purchase; a contract is formed only when HazelGRC issues a booking confirmation. HazelGRC may decline a booking, for example where a Programme is full or where the booking is not appropriate to the stated audience.
3. Prices and taxes
Prices are stated on the Programme page in pounds sterling unless stated otherwise. Prices exclude VAT and any other applicable taxes or duties, which are added where chargeable. Travel, accommodation and other Participant expenses are not included unless expressly stated.
4. Payment
Payment is due in full at the time of booking unless HazelGRC has agreed invoiced terms in writing. Where invoiced terms apply, payment is due by the date stated on the invoice and in any event before the Programme start date. HazelGRC may withhold access where payment has not been received.
5. Booking confirmation and joining details
On confirmation we issue an order reference and, closer to the Programme date, joining instructions including timings, location or virtual access details and any pre-work. It is the Purchaser’s responsibility to provide accurate Participant contact details and to check that joining instructions have been received.
6. Cancellation by the Purchaser or Participant
Cancellations must be notified in writing to the Academy contact address. The refund position depends on how much notice is given before the Programme start date, as set out in the refund table published on the Programme page and in the booking confirmation.
7. Refunds
Approved refunds are made to the original payment method within a reasonable period of approval. Booking or payment processing fees charged by third-party providers may not be recoverable. Where a Participant does not attend and has not cancelled in accordance with these terms, the fee remains payable.
Nothing in these terms affects any rights a Participant may have as a consumer under applicable law.
8. Substitutions
A Purchaser may substitute another Participant at no additional charge by notifying HazelGRC in writing before the Programme begins, provided the substitute meets any stated audience or prerequisite requirements.
9. Transfers to another Programme
Requests to transfer a booking to a later date or another Programme are considered on a case-by-case basis, subject to availability and any published transfer administration fee or price difference. Transfers are confirmed in writing.
10. Cancellation or rescheduling by HazelGRC
HazelGRC may cancel or reschedule a Programme, or change the format, venue, timings or named facilitator, where reasonably necessary. Where HazelGRC cancels, the Purchaser may transfer to an alternative date or receive a full refund of fees paid for that Programme. HazelGRC is not responsible for travel, accommodation or other Participant costs arising from a cancellation or change.
11. Virtual delivery
Virtual Programmes are delivered using Microsoft Teams, Zoom or a comparable platform. Participants are responsible for their own equipment, connectivity and any organisational access restrictions. Brief technical interruptions do not constitute a failure to deliver the Programme; HazelGRC will take reasonable steps to resolve issues or provide an alternative arrangement where a session is materially disrupted.
12. Access credentials
Access links, logins and materials portals are issued for the named Participant only. Credentials must not be shared, forwarded or used by more than one person. HazelGRC may suspend access where credentials are shared or misused.
13. Intellectual property in HazelGRC materials
All course manuals, slides, handouts, templates, frameworks, models, diagrams, tools, exercises, case studies, assessments, recordings and other Academy materials (“Materials”), and all intellectual property rights in them, are and remain the property of HazelGRC Limited or its licensors. This includes the HazelGRC Technology Assurance Framework™ and associated names and marks.
Subject to payment, each Participant is granted a personal, non-exclusive, non-transferable licence to use the Materials for their own learning and for internal reference within their organisation. That licence does not transfer ownership and does not permit the Participant or their organisation to:
- reproduce, publish, distribute or share the Materials outside their organisation;
- use the Materials to deliver training to others, whether internally as a formal programme or commercially;
- create derivative works, competing programmes or reformatted versions of the Materials;
- remove HazelGRC branding, attribution or copyright notices; or
- upload the Materials to any public, shared or AI training repository.
Licences for internal train-the-trainer or wider organisational reuse are available separately by written agreement.
14. Recording
Participants may not record, photograph, screen-capture or stream any part of a Programme without HazelGRC’s prior written consent. Where HazelGRC records a session, Participants are told in advance and the recording is handled as described in the Privacy Policy.
15. Participant conduct
Programmes are professional learning environments. Participants are expected to behave respectfully towards facilitators and other Participants and to comply with venue and platform rules. HazelGRC may remove a Participant whose conduct is disruptive, unlawful or harassing, without refund.
16. Confidentiality
Participants often discuss real organisational situations. Information shared by other Participants during a Programme must be treated as confidential and must not be attributed or repeated outside the session. HazelGRC treats client and Participant information confidentially in line with its professional obligations.
17. Accessibility and reasonable adjustments
We want Programmes to be accessible. Please tell us about any adjustment that would help — including materials in alternative formats, captioning, extra breaks, or venue access requirements — by emailing academy@hazelgrc.com as early as possible, and ideally at least ten working days before the Programme.
18. Liability
Programmes provide professional education and general guidance. They are not a substitute for independent professional, legal or regulatory advice on a specific matter, and HazelGRC is not responsible for decisions taken on the basis of Programme content.
HazelGRC does not exclude or limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
19. Privacy
Personal information relating to bookings and participation is handled as described in the HazelGRC Privacy Policy — HazelGRC Academy, Training and Events. Accepting these terms does not opt a Participant or Purchaser into marketing; marketing consent is always a separate, optional choice.
20. Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
